Transaction Dynamics

  • Structure: majority recapitalizations (we acquire 60%+ of equity)

  • Seller Rollover: seller retains equity in the business and participates in future growth / upside

  • Flexible Transition Plan: seller may wish to continue leading business, or transition out over a period of time (with a new leader put-in-place)
